Terms of Service

1. Agreement to Terms

By accessing or using Dev To Dep's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Services Description

Dev To Dep provides full-stack software development services, including but not limited to:

  • Web application development
  • Backend and API development
  • Cloud deployment and DevOps services
  • UI/UX design and integration
  • Technical consulting
  • Maintenance and support services

3. Project Scope and Deliverables

The specific scope of work, deliverables, timelines, and pricing for each project will be outlined in a separate project agreement or statement of work (SOW). This agreement will supersede any general terms where applicable.

All deliverables remain the property of Dev To Dep until full payment is received. Upon completion of payment, ownership of the deliverables will transfer to the client as specified in the project agreement.

4. Payment Terms

Payment terms will be specified in each project agreement. Generally:

  • Projects may require an initial deposit before work begins
  • Payment schedules may be milestone-based or monthly, as agreed
  • All invoices are due within the timeframe specified in the project agreement
  • Late payments may incur interest charges as permitted by law
  • All prices are in USD unless otherwise specified

5. Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete project requirements
  • Timely feedback and approvals during the development process
  • Providing necessary access to systems, APIs, or third-party services
  • Ensuring they have rights to any content, data, or materials provided to Dev To Dep
  • Making timely payments as agreed

6. Intellectual Property

Upon full payment, clients will receive ownership of the custom code and deliverables created specifically for their project, as outlined in the project agreement.

Dev To Dep retains rights to:

  • Pre-existing code, frameworks, and tools used in development
  • General methodologies and processes
  • Portfolio rights to showcase completed work (with client permission)

7. Confidentiality

Dev To Dep agrees to maintain confidentiality of all client information, business plans, proprietary data, and project details. We will not disclose confidential information to third parties without written consent, except as required by law.

8. Warranties and Disclaimers

Dev To Dep warrants that services will be performed in a professional and workmanlike manner. However, we do not guarantee:

  • Uninterrupted or error-free operation of delivered software
  • Compatibility with all third-party systems or future updates
  • Specific business results or outcomes

Software is provided "as is" to the extent permitted by law. We will address bugs and issues during the warranty period as specified in the project agreement.

9. Limitation of Liability

To the maximum extent permitted by law, Dev To Dep's total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

Dev To Dep shall not be liable for indirect, incidental, special, or consequential damages, including lost profits or data, even if advised of the possibility of such damages.

10. Termination

Either party may terminate a project agreement with written notice. Upon termination:

  • Client will pay for all work completed up to the termination date
  • Dev To Dep will deliver all completed work and materials
  • Confidentiality obligations will continue to apply

11. Changes to Terms

Dev To Dep reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the new terms.

12. Governing Law

These Terms of Service and any dispute or claim arising out of or in connection with them (including non‑contractual disputes or claims) shall be governed by and construed in accordance with the laws of Pakistan, without giving effect to any choice or conflict of law provision or rule. Any disputes arising from these terms or our services shall first be addressed through good‑faith discussions between the parties. If a resolution cannot be reached, the courts located in Pakistan shall have exclusive jurisdiction, unless we mutually agree in writing to an alternative forum.
